Terms of service
JustBite is a private limited company (BV) under Belgian law, with its registered office located at Paulatemstraat 59B, 9630 Zwalm, Belgium, and registered with the Crossroads Bank for Enterprises under VAT number 0742.811.152.
JustBite provides healthier snacks and/or snack boxes to individuals and businesses, either on a subscription basis or not.
Order and Agreement Formation
The customer can place an order by approving a quotation, placing an online order, or providing a purchase order (PO) following the procedures made available by JustBite. JustBite will confirm the receipt of the order as soon as practically possible (electronically). However, this confirmation does not yet constitute acceptance of the placed order. The order is only accepted by JustBite when it sends an acceptance confirmation or ships the ordered products to the customer. Until such acceptance is made, no agreement is established between the customer and JustBite, and JustBite reserves the right to refuse the order without giving reasons.
Acceptance
Every order placed is subject to these general terms and conditions, which the customer accepts in full. These general terms and conditions will always take precedence over the customer’s terms and conditions.
Snack Box Composition
If the customer orders one or more snack boxes, the composition of the snack boxes and the selection of the snacks will be determined by JustBite unless otherwise agreed through the approval of a quotation, order form, or purchase order (PO), and confirmed by JustBite via an acceptance confirmation. When the selection of snacks is determined by JustBite, JustBite will take into account the preferences communicated by the customer.
Personalization – Use of IP
If the customer wishes, the order can be personalized by adding a logo, brand, company name, text, and/or image to the snack boxes. If the customer chooses to personalize the snack boxes and submits a logo, brand, company name, text, and/or image to JustBite, the customer grants JustBite a usage right for the purpose of the aforementioned personalization and guarantees that no intellectual property rights will be infringed. In this context, JustBite can in no way be held responsible and/or liable (and the customer will indemnify JustBite where necessary).
Right of Withdrawal
If the customer is a natural person-consumer, they have the right to withdraw from the agreement within a period of 14 days and return the products in their original, unopened, undamaged, and original packaging to JustBite. This 14-day period starts on the day the order is received. The customer must exercise their right of withdrawal in writing (e.g., by email) within the aforementioned period. In such a case, the costs of returning the products are borne by the customer. The risk and burden of proof for the timely exercise of the right of withdrawal lie with the customer. This right of withdrawal does not apply if the customer is a business.
JustBite Subscription
The customer can enter into a subscription by completing and confirming the order form, placing an order via the website, approving a quotation, or providing a purchase order (PO), as agreed with JustBite, whereby products are delivered to the customer at regular, mutually agreed intervals. The subscription can be for a fixed period or an indefinite period, where after an initial period, it will be tacitly renewed. In the latter case, the customer can terminate the subscription at any time. If the customer cancels at least four (4) days before the start of a new period (as viewed in the online account), the subscription will end, and no further orders will be shipped for a new period. If the cancellation is made after the start of a new period, all products will still be delivered for this new period, and the customer must still pay for them. Afterward, the cancellation takes effect. Termination of the subscription must be done in writing, via the customer service on the website, the online account, mail, or email.
Delivery
The products are delivered by a courier service, chosen by JustBite. The delivery terms are mutually agreed upon by the parties. The customer must ensure that personal delivery of the products is possible at the place and during the hours provided for delivery. The customer is responsible for all costs and damages if personal delivery is impossible. The customer may specify an alternative location where the products can be delivered (e.g., with neighbors, in a sheltered place, etc.). The delivery is deemed validly completed by JustBite if the products are delivered according to the customer’s indicated choice.
Retention of Title
The delivered products remain the property of JustBite until the full price is paid. JustBite reserves the right to reclaim the products in case of non-payment by the customer. Any prepayments remain with JustBite as compensation for possible losses upon resale.
Customer’s Obligations
All information provided by the customer to JustBite (e.g., delivery addresses, contact details, etc.) must be current and accurate. The customer must not share their online account password with third parties and must keep it secure. In case of loss or sharing of the password with third parties, the customer must notify JustBite immediately in writing. Any misuse resulting from this (e.g., unauthorized orders by a third party and subsequent claims) is at the customer’s expense.
Prices
Prices are, unless otherwise agreed, exclusive of VAT and shipping costs. Payment can be made via the payment methods indicated on the website, in the quotation, or on the invoice. If the customer has entered into a subscription, a discount may be granted to the customer in accordance with the terms and conditions as further specified and the accompanying acceptance confirmation, in order to incentivize long-term cooperation between JustBite and the customer. The customer has no right to a discount unless expressly agreed in the acceptance confirmation. In any case, the discount will only be definitively acquired if the subscription has not been terminated within the period specified in the acceptance confirmation (the "Waiting Period"), in which case JustBite will pay the customer an amount equal to the discount within fifteen (15) days after the Waiting Period. If a company affiliated with the customer (within the meaning of Article 1:20 of the Companies and Associations Code) (an "Affiliated Company") enters into a subscription after the customer has entered into a subscription, the totals serving as the basis for calculating the discount will be combined for the customer and all their Affiliated Companies that are customers, and such Affiliated Companies will enjoy a discount under the same terms and conditions as the customer, unless expressly agreed otherwise between JustBite and the Affiliated Company.
Payment Terms
For businesses, all invoices are payable within fifteen (15) days after receipt of the products by the customer, unless otherwise agreed. JustBite reserves the right to make deliveries only against prepayment.
Any amount not fully paid on the due date will automatically and without prior notice be increased by an interest rate of 8% per year starting 30 calendar days after the due date. The amount of any invoice that is not paid 30 calendar days after the due date will automatically and without prior notice be increased by a flat-rate compensation equal to 10% of the amount due, with a minimum of EUR 75.
For individuals, immediate online payment is required at the time of ordering. The order will only be processed after successful payment. If the payment fails for any reason, the order will be canceled, and no delivery will take place.
Price Changes
JustBite reserves the right to change the prices of the offered products, both within the subscription and through the wholesale portal or quotations. JustBite will inform the customer at least 14 days in advance of any price changes for subscriptions. If the customer objects to the price change for the subscription, they have the option to immediately terminate the subscription without any cost, whereby no further orders will be delivered. If the customer does not terminate the subscription, the revised prices will apply going forward.
Use as Reference
The customer agrees that their company name and logo may be used as a reference (on the JustBite website and other promotional materials).
Force Majeure
JustBite cannot be held liable for any damages resulting from force majeure, including but not limited to strikes, illnesses, fires, disruptions at JustBite or its suppliers and/or producers, imposed restrictive government measures.
Liability
JustBite can only be held liable for damages suffered by the customer if these are directly and exclusively the result of a proven fault by JustBite, or in case of gross or intentional fault by JustBite or its appointees. Liability for indirect and consequential damages is excluded. In any case, JustBite's liability is limited to the amount paid by the customer under the agreement.
Severability
If any provision of these general terms and conditions or the agreement is no longer valid, the remaining provisions remain valid.
Applicable Law and Jurisdiction
All agreements between JustBite and the customer to which these general terms and conditions apply are exclusively governed by Belgian law. All disputes arising from the agreement between JustBite and the customer will be exclusively adjudicated by the courts of Ghent.
